中华人民共和国外资银行管理条例

《中华人民共和国外资银行管理条例》,为了适应对外开放和经济发展的需要,加强和完善对外资银行的监督管理,促进银行业的稳健运行而制定,香港特别行政区、澳门特别行政区和台湾地区的金融机构在内地设立的银行机构,比照适用该条例,国务院另有规定的,依照其规定。该条例共七章、七十三条(含附则),自2006年12月11日起施行,2001年12月20日国务院公布的《中华人民共和国外资金融机构管理条例》同时废止。

General principles of the first chapter

Article 1 in order toadapt to the outside worldand economic development,strengthen andimprove the administration of foreign-funded banks,promotethe steady operation of the banking industry,the enactment of this Ordinance.

The second article of thisOrdinance referred toforeign banks,refers tothe people's Republic of Chinain accordance with therelevant laws and regulations,approvedin the people's Republic of Chinaestablishedthe following institutions:

(a)1 foreign banksolely investedor1 foreign banksandother foreignfinancial institutions jointlyfunded the establishment of wholly foreign-ownedbanks;

(two)the foreignfinancial institutions andChinesecompanies,enterprises jointly funded the establishment ofSino-foreign joint venturebank;

(three)the branch of a foreign bank;

(four)a representative office of a foreign bank.

The preceding paragraph(a)to(three)listedinstitutions,hereinafter referred to asa business institution of a foreign-funded bank.

The third article of thisOrdinance referred toforeign financial institutions,is refers in thepeople's Republic of Chinaregistered overseasand by thecountry or region wherethe approval of the financial supervision authorityor licensefinancial institutions.

Foreignbankreferred to in these regulations,refers tothe people's Republic of Chinaregistered overseasand by thecountry or region wherethe financial regulatory authoritiesapprovedor licensedcommercial banks.

Fourthforeign banks mustabide by thelaw of the Peoples Republic of China,regulationsof the people's Republic of China,shall not damagenational interests,public interests.

Foreign bankslegitimateactivities and lawful rights and interests ofthe people's Republic of Chinalegal protection.

Fifth of thebanking regulatory institution of the State Counciland its branches(hereinafter referred to as the bankingsupervision institution)is responsible for theforeign capital bank and itssupervision andmanagement.Laws,administrative regulationsand otherregulatory departments orinstitutionsof foreign-funded banks and theiractivities in the implementation of the supervisionand management,in accordance with its provisions.

Sixth of thebanking regulatory institution of the State Councilaccording to the StateDevelopment Strategy of regional economyand relatedpolicy development related toencourage and guide themeasures,reported to the State Council forapproval.

The second chapterestablishment and registration

In sevenththe establishment of a foreign-fundedbank and its branch institutions,shall be approved by thebanking regulatory institutionfor examination and approval.

Article eighthforeign-ownedbanks,and Sino-foreign joint venture banksthe minimum amount of the registered capitalof yuan or the equivalent valuein a freely convertible currency.The registered capital shall be paid-in capital.

Solely foreign-funded banks,Sino-foreign joint venture banksin the people's Republic of Chinaset up abranch,the head office of the bank shallgratuitously allot tonot less than 100000000yuan or the equivalent valuein a freely convertible currencyworking capital.Wholly foreign-funded banks,Sino-foreign joint venturebankstoall branches ofworking capitalsum,shall not exceed thetotal capital of thebank60%.

A branch of a foreign bankshall beappropriatedby the head officeof not less than 200000000yuan or the equivalent valuein a freely convertible currencyworking capital.

The banking regulatoryinstitutions on the basis ofa business institution of a foreign-funded bank's business scopeandthe prudential requirements,can increasethe registered capital or working capitalminimum limit,andthe proportion of RMB herein.

Article ninththewholly foreign-funded banks,Sino-foreign joint venturebank shareholdersorthe branch,representative officeof theforeignbank shallmeet the following conditions:

(a)hascontinuously gain ability,good reputation,no record of major illegal activities;

(two)thewholly foreign-funded banks,Sino-foreign joint venture banks'foreign shareholdersorthe branch,representative officeof theforeignbankhas engaged ininternational financial activitiesexperience;

(three)havingan effective anti-money launderingsystem;

(four)thewholly foreign-funded banks,Sino-foreign joint venture banks'foreign shareholdersorthe branch,representative officeof foreignbanks bythe country or region wherethe authority of financial supervisionthe effective supervision,andits application forthe country or region wherethe financial regulatory authoritiesagree;

(five)banking regulatory institution of the State Councilprovisionsotherprudent conditions.

Theforeign-funded bank's shareholders,Sino-foreign joint venture banksforeign shareholdersorthe branch,representative officeof foreign banks intheir home countries or regionsshallhave a sound financialsupervision and management system,and its financialregulatory authoritiesandthe banking regulatoryagencies to establish a goodregulatorycooperation mechanism.

Article tenththeforeign-ownedbank shareholdersshall be financial institutions,in addition totheprovisions of article ninthshall haveregulationsoutside the condition,the unique or controllingshareholder shall meet the followingconditions:

(a)forcommercial banks;

(two)in the people's Republic of Chinahasset up a representative officefor more than 2 years;

(three)proposed the establishment ofthe 1 years prior to the applicationof not less than$ intotal assets at the end of;

(four)the capital adequacy ratioin line withthe country or region wherethe financial regulatory authoritiesand thebanking regulatory institution of the State Councilprovisions.

Article eleventhto establish a Sino-foreign equity jointbank shareholdersshallmeet theprovisions of article ninthof theregulations on thecondition,the foreign shareholder andthe soleormain shareholdersshall be financial institutions,andthe onlyormain shareholdersshall meet the followingconditions:

(a)forcommercial banks;

(two)in the people's Republic of Chinahasset up a representative office;

(three)proposed the establishment ofthe 1 years prior to the applicationof not less than$ intotal assets at the end of;

(four)the capital adequacy ratioin line withthe country or region wherethe financial regulatory authoritiesand thebanking regulatory institution of the State Councilprovisions.

Article twelfththebranch of theforeign bankshallmeet theregulationsprescribed in article ninthconditions,should have the following conditions:

(a)set1 years prior to the applicationof not less than intotal assets at the end of;

(two)the capital adequacy ratioin line withthe country or region wherethe financial regulatory authoritiesand thebanking regulatory institution of the State Councilprovisions;

(three)the initial establishment of a branch,in the people's Republic of Chinahasset up a representative officefor more than 2 years.

Thirteenthforeign banks inthe people's Republic of Chinaset upa business institution,in addition hasestablished a representative office,shall not add anyrepresentative office,butin line with the nationaldevelopment strategy of regional economyand relatedpolicyareas with the exception.

Representative Officeapprovalfor the restructuringof business institutions,shall apply forcancellation of registrationoftherepresentative office.

Article fourteenththe establishment ofa business institution of a foreign-funded bankshallfirst apply for preparatory establishment,submit the following application materials,andtheinstitutionofsupervision and management of banking institutions:

(a)the application,the contents including theinstitution's name,location,the registered capital or working capital,the type of businessandapplication;

(two)the feasibility study report;

(three)thesolely foreign-funded banks,Sino-foreign joint venture banksofthe draft articles of association;

(four)thesolely foreign-funded banks,Sino-foreign joint venture banksshareholderssignedbusinesscontract;

(five)thewholly foreign-funded banks,Sino-foreign joint venturebank shareholdersorthe branchof foreignbank's charter;

(six)thewholly foreign-funded banks,Sino-foreign joint venturebank shareholdersorthe branchofforeignbankand thegrouporganization chart,list of the main shareholders,overseas branchesandassociated enterpriseslist;

(seven)thewholly foreign-funded banks,Sino-foreign joint venturebank shareholdersorthe branchof foreignbank over the last 3 yearstheannual report;

(eight)thewholly foreign-funded banks,Sino-foreign joint venturebank shareholdersorthe branchof foreignbankanti money laundering system;

(nine)thewholly foreign-funded banks,Sino-foreign joint venture banks'foreign shareholdersorthe branchof foreignbank inthe country or region wherethe financial regulatory authoritiesissued a businesslicense or financial businesslicensephotocopies of documentsand the opinions about the application;

(ten)banking regulatory institution of the State Councilprovisionsof other information.

Theinstitutionofthe banking regulatory institution shallapply theinformation along with theexamination opinions,timely submit thebanking supervision institution of the state council.

Fifteenth of thebanking regulatory institution of the State Councilshallset up abusiness institution of a foreign-funded bank,the complete application materialswithin 6 months from the date ofmakingthedecision ofwhether or not to grant approval,and notify the applicant in writing.Decidednot to grant the approval,it shall explain the reason.

Under special circumstances,the banking regulatoryinstitutionnotwithin the prescribed time limitto complete the reviewand make approvalordisapproval,may be appropriate toextend the examination time limit,and notify the applicant in writing,but the extensionshall not exceed 3 months.

The applicantwith theapproval documenttotheinstitutionofthe banking regulatory institutionforbusiness start application.

Article sixteenththe applicantshall beallowed to buildwithin 6 months from the dateof completion of the preparatory work.Within the prescribed limitfailsto complete the preparatory work,the reasons shall be explainedbythe institution,the location of theapproval of the banking regulatory institution,can be extended for 3 months.During the lengthening periodfails to complete the preparatory work,banking regulatory institution of the State Councilmade thedecision of approval of preparatory establishmentof automaticfailure.

Article seventeenthafteracceptanceto complete the preparatory work,the applicant shall fill in theapplication form together with the followinginformation submitted to theopening oftheinstitutionofsupervision and management of banking institutions:

(a)the organizationis largely responsible for thename and resume of the person;

(two)to be appointedthe agencywho is responsible forauthorization;

(three)thecapital verification certificateissued by a statutory capital verification organization;

(four)safety measures andother facilities related to the businessinformation;

(five)the establishment ofbranches offoreignbanksonthebranch undertakestaxation,debtguarantee;

(six)banking regulatory institution of the State Councilprovisionsof other information.

Theinstitutionofthe banking regulatory institution shallapply theinformation along with theexamination opinions,timely submit thebanking supervision institution of the state council.

Eighteenth of thebanking regulatory institution of the State Councilshall receive thecomplete set of applicationmaterialswithin 2 months from the date ofapproval ordisapproval,make adecision,and notify the applicant in writing.If approved,it shall issuea financial license;decides not to grant the approval,it shall explain the reason.

Article nineteenthapproved the establishment of abusiness institution of a foreign-funded bankshall,upon the strength of the financial permitto the industrial and commercial administrative organsfor registration,business license.

Article twentieththe establishment ofa representative office of a foreign bank,it shallsubmit the following application materialsof the representative office tothe location of thebanking supervision institution:

(a)the application,the contents including therep's name,location;

(two)the feasibility study report;

(three)the applicant'sarticles of association;

(four)the applicantand thegrouporganization chart,list of the main shareholders,overseas branchesandassociated enterpriseslist;

(five)the applicant in the recent 3 years;

(six)the applicant'santi-money laundering system;

(seven)to be appointed bythechief representativeof theidentity certificate anddegree certificate,and thecopy ofyour resumecandidateshaveno bad record declaration;

(eight)to be appointedthechief representativeof theauthorization;

(nine)the applicantcountries or regionsfinancial regulatory authoritiesissued a businesslicense or financial businesslicensephotocopies of documentsand the opinions about the application;

(ten)banking regulatory institution of the State Councilprovisionsof other information.

The representative officelocal banking regulatoryinstitution shallapply theinformation along with theexamination opinions,timely submit thebanking supervision institution of the state council.

Twenty-first of thebanking regulatory institution of the State Councilshallset up arepresentative office of a foreign bank isthe complete application materialswithin 6 months from the date ofmaking adecision on approving or disapproving the establishment,and notify the applicant in writing.Decidednot to grant the approval,it shall explain the reason.

Article twenty-second ofthe approved establishment of therepresentative office of a foreign bankshall,with the approval documentsto theadministrative department for Industry and commerceregistration,receive thecertificate of business registration.

The twenty-thirdarticle of this Ordinancefourteenth,seventeenth,Twentiethrecorded information,with the exception of the annual reports,if written in foreign languages,the Chinese versions shall be attached.

Article twenty-fourthin accordance with thelegitimacy,prudence and sustainableoperating principle,thebanking regulatory institution of the State Councilfor approval,the foreign bankcan bein the people's Republic of Chinaestablishedthebranchis changed into asolely foreign-funded bank.The applicant shall,in accordance with thebanking supervision institution of the State Councilprovisions of theapproval conditions,procedure,application informationproposed the establishment ofa wholly foreign-funded bankapplication.

Article twenty-fifththe restructuring of branches of foreign banksby its headquartersa solely foreign-funded bank,thebanking regulatory institution of the State Councilfor approval,the foreign bankcan bewithin the prescribed time limit,to retain the 1branch engaging in foreign exchange wholesale business.The applicant shall,in accordance with thebanking supervision institution of the State Councilprovisions of theapproval conditions,procedure,application dataapplication.

The term wholesale business of foreign exchange,refers toa person other thanthe customer'sforeign exchange business.

Twenty-sixthforeign bankdirectors,senior managers,chief representative of thepost-holding qualificationshall conform to thebanking regulatory institution of the State Councilprovisions of theconditions,and by thebanking regulatory institution of the State Councilapproved.

Twenty-seventhforeign bankshave one of the following cases,shall be approved by thebanking regulatory institution of the State Councilfor approvalin accordance with the provisions,andsubmit application materials,in accordance with the law to theadministrative department for Industry and Commerceshall handle the relevant registration:

(a)the change of its registered capitalor working capital;

(two)changes its name,place of businessor office;

(three)adjustment of the business scope;

(four)the change in shareholders oradjust theproportion of shareholders;

(five)to amend the articles of association;

(six)banking regulatory institution of the State Councilprovisionsin other cases.

Foreign banks toreplace members of the board of directors,senior managers,chief representative,it shall be submitted to thebanking regulatory institution of the State Councilapprovedthequalification.

Article twenty-eighthforeign-ownedbanks,and Sino-foreign joint venture bankschange of shareholders,after the change ofshareholdershall comply with the provisions ofarticle ninth,tenthor eleventhonthecondition ofshareholders.

Under special circumstances,thebanking regulatory institution of the State Councilagreed,after the change ofshareholdercannot apply theregulationsof article tenth(two)orarticle eleventh(two)the provisions of item.

The thirdchapter,the scope of business

Article twenty-ninthwholly foreign-funded banks,Sino-foreign joint venturebanks in accordance with thebanking supervision institution of the State Councilapproved the scope of business,can operatein part or all of the followingforeign exchangebusiness and RMB business:

(a)to absorb public deposits;

(two)for issuing short-term,medium-termandlong-termloans;

(three)foracceptance and discount of negotiable instruments;

(four)the sale of government bonds,financial bonds,buying and sellingstockother thancurrency
